Meissa advises shareholders of Special Education
Publishing on sale
of share capital to Electric Word plc
Meissa Limited has acted for the shareholders of Special Education Publishing
Limited (SEP) in connection with the sale of the entire share capital to
Electric Word plc (EW).
SEP is a publisher of three educational magazines aimed
at teachers in primary schools, namely "Special Children",
"Teaching and Learning" and "PE and Sports Today".
The acquisition, which completes today, follows the exercise by
EW of an option agreement with SEP’s shareholders that was agreed in
September 2007. The consideration for the acquisition of SEP is £875,000,
which will be financed by EW issuing preference shares bearing
a 0% coupon and which convert at 13.25p.
The Meissa team was headed by corporate director Ed Tranham.

Acquisition of Speechmark Publishing Limited Meissa supported Electric
Word Plc on its acquisition of Speechmark Publishing Limited for
a total
maximum consideration of £2 million, which was announced on 8 October
2007.

Speechmark is a specialist publisher of practical books,
resources and ColorCards®
for professionals working with the educational and therapeutic needs
of people
of all ages. Speechmark’s publications include: ColorCards®,
designed to help develop
both language and social skills, early development books for the
teaching of
babies and children, speech and language publications to aid children
and adults with
learning difficulties and publications for the use of elderly people
with dementia.
